General Terms and Conditions
These terms apply to all orders placed with PortalWeb GmbH, from websites and online marketing to hosting and support. We have deliberately written them in plain language. Anything set out in your quote always takes precedence.
Last updated: October 2026
1. Scope
- These General Terms and Conditions apply to all contracts between PortalWeb GmbH ("we") and its clients ("you").
- They apply to all our services, in particular websites, online shops, booking systems, logo design, copywriting, search engine optimisation (SEO), Google Ads, social media, email and SMS marketing as well as hosting and support.
- Anything set out in the quote or another written agreement takes precedence over these terms. Your own terms and conditions only apply if we expressly agree to them in writing.
- In these terms, "in writing" includes email.
2. Conclusion of contract
- Our quotes are valid until the date stated in them.
- The contract is concluded when you return the signed quote or confirm the order in writing. In doing so, you also accept these terms.
- Amendments and additions apply once both parties have confirmed them in writing.
3. Services and project process
- The services we provide are set out in the quote. We work carefully and according to the current state of the art.
- For websites, you first receive a preview. We make adjustments within the scope of the quote until you approve the website.
- Requests that go beyond the quote are charged by time spent. For larger tasks, we tell you the expected effort in advance.
- We also use artificial intelligence tools for texts, images and programming. We review the results before you receive them.
- We may involve carefully selected partners for individual tasks. PortalWeb GmbH always remains your point of contact.
4. Deadlines
- We agree deadlines together. They are guidelines unless we expressly agree that they are binding.
- If you provide content, feedback or approvals later than agreed, the deadlines move accordingly.
- If a project is on hold for more than three months for reasons on your side, we may invoice the work done up to that point.
5. Your cooperation
- You provide texts, images, logo, login details and other information on time and in full and name a contact person who can make decisions.
- You confirm that you hold the necessary rights to everything you provide to us, for example photos, texts and trademarks. If supplied content infringes third-party rights, you are responsible and indemnify us against third-party claims.
- You review and approve texts we write and images we create with artificial intelligence before they are published. By approving them, you take responsibility for the published content.
- You are responsible for the lawfulness of your offer and your content, for example price information, advertising claims and the terms of your online shop.
6. Prices and payment
- The prices in the quote apply, in Swiss francs plus VAT.
- Instalments are set out in the quote. Invoices are payable within 30 days without deduction.
- Third-party costs, for example licences, fonts, image databases, advertising budgets with Google or Meta and SMS fees, are borne by you unless the quote states otherwise.
- If an invoice is still open after the payment deadline, you will receive a reminder. From the reminder onwards, default interest of 5% per year is due.
- If an invoice remains unpaid after a reminder with a 10-day deadline, we may suspend the website and other services until everything is paid.
- If you cancel a project before completion, you pay for the work done up to that point, but at least the deposit.
7. Acceptance and warranty
- After completion, you check the website and report any defects to us. The website is deemed accepted when it goes live. Other work, for example a logo or texts, is deemed accepted on approval or delivery.
- A defect exists if a service deviates significantly from the quote or does not work as agreed. We optimise websites for the current versions of common browsers on desktop, tablet and mobile.
- We fix defects you report within 6 months of going live free of charge. If we cannot fix them, the statutory rights apply.
- Change requests after approval and problems caused by changes made by you or third parties, by third-party software or by changes at third-party providers such as Google or payment services are not defects.
8. Hosting, domain and support
- We register the domain in your name and manage it technically for you.
- The annual hosting fee covers hosting, SSL certificate, domain fee, regular backups, technical updates, security measures and fixing technical faults you did not cause.
- New content, new features, design changes and training are not included and are charged by time spent.
- For questions and faults, you can reach us by email or phone during normal business hours.
- We may temporarily block content that is clearly unlawful or endangers the security of the servers. We will inform you immediately.
9. Term and termination
- The hosting and support contract starts when the website goes live and runs for one year. It renews for another year each time unless either party cancels it in writing at least one month before it expires. Years already paid are not refunded.
- We may adjust the annual fee for the next contract year. We will inform you at least two months in advance; you may then cancel as of the end of the current contract year.
- Monthly services such as SEO support, Google Ads or social media can be cancelled at any time as of the end of the following month, unless the quote states otherwise.
- Either party may terminate a contract without notice for good cause, for example in the event of a serious breach of contract.
- After termination and full payment, you receive your content and data as well as your website files. Help with moving to another provider is charged by time spent. Three months after the end of the contract, we delete your data from our systems unless we are legally required to keep it.
10. Availability and security
- We run websites with carefully selected providers and protect them according to the current state of the art. However, nobody can guarantee uninterrupted availability or complete protection against attacks.
- Short interruptions for maintenance and updates are possible. Where possible, we schedule them so that they disturb your visitors as little as possible.
- You keep your login details confidential, use secure passwords and report any suspected misuse to us immediately.
11. SEO and online marketing
- We work to the best of our knowledge and in line with the guidelines of the respective platforms. However, Google rankings, visitor numbers, enquiries and sales also depend on factors beyond our control. We therefore do not guarantee them.
- Advertising accounts with Google, Meta or other platforms are also subject to their terms. You pay advertising budgets directly to the platform unless the quote states otherwise.
- For email and SMS advertising, you are responsible for ensuring that recipients have consented or may otherwise be contacted lawfully and that every message can easily be unsubscribed from.
12. Rights
- Your content such as texts, images and data remains your property.
- A logo we design for you belongs to you with all rights once it has been paid in full. You may, for example, register it as a trademark.
- Once paid in full, you receive an unlimited right to use the design and programming of your website for your business and to have it adapted. Copyright and general components, templates and code that we also use in other projects remain with us.
- Third-party software, fonts, images and extensions, including open source software, are subject to their licence terms.
- We may show your website as a reference, for example on portalweb.ch and on social media, and place a small credit with a link to PortalWeb in the footer. If you do not want this, a short message is enough.
13. Confidentiality
Both parties treat the other party's confidential information as confidential, for example business figures, customer data and login details. This obligation continues after the contract ends.
14. Data protection
- We process personal data received through your website, for example reservations, orders or enquiries, only on your behalf and according to your instructions, confidentially and in accordance with the Swiss Data Protection Act.
- We protect this data with appropriate technical and organisational measures, support you with requests from data subjects and inform you immediately if the security of the data is breached.
- You agree that we may engage carefully selected providers for this purpose, for example for hosting, databases and email delivery, including servers in the EU or the USA, provided adequate data protection is ensured. We will name the current providers on request.
- Towards your customers, you are responsible for the processing of data on your website. We prepare the legal notice and privacy policy carefully based on a proven template, but they do not replace legal advice.
15. Liability
- We are liable for damage we cause intentionally or through gross negligence.
- Any further liability is excluded to the extent permitted by law, in particular for slight negligence, for indirect and consequential damage such as lost profits or lost reservations, and for outages and errors of third-party providers such as servers, Google or payment services.
- If data is lost, we restore it from the most recent backup.
16. Force majeure
We are not liable for delays and outages caused by events beyond our control, for example natural events, pandemics, official orders, cyber attacks or disruptions to power, internet or third-party providers. Affected deadlines move accordingly.
17. Final provisions
- The current version of these terms applies to new contracts. We notify clients with ongoing contracts of changes by email at least one month before they take effect. If you do not agree, you may cancel the affected contract as of that date.
- If any provision is invalid, the remaining provisions remain in force. It is replaced by a provision that comes as close as possible to its purpose.
- Swiss law applies. The place of jurisdiction is Altdorf UR. For consumers, the mandatory statutory provisions and places of jurisdiction apply.
- These terms are also available in German and Italian. The German version is binding.
